Job Description
Galileo is looking for an Associate Legal Counsel M&A to manage a variety of M&A matters across Europe and support the business of the Group in its expansion in the above markets. This person will be based in Milan (with the possibility of hybrid remote working) and report to the Head of Legal M&A and Strategic Partnership. What you’ll do: Support the Legal team in all legal aspects of M&A transactions, including due diligence, drafting and negotiating transaction documents, and coordinating signing/closing processes. Ensure all M&A activities comply with relevant laws, regulations, and internal policies. Monitor and advise on changes in legislation that may impact M&A activities. Participate in cross-functional teams, counselling stakeholders on legal, commercial or reputational risks in a user-friendly and pragmatic manner; Liaise with other members of the legal team in relation to different activities to be implemented across the Group; Support in managing external advisers (e.g., lawyers, public notaries, translators, etc.) in a cost-effective way; Provide advice in relation to day-to-day topics; Manage and perform ad-hoc cross-functional projects initiated by the company, supporting the different members of the management team and interacting with all relevant team members within the Company at the direction of the General Counsel. Requirements What you’ll need: A desire and a passion to contribute to the energy transition with a pan-European focus by joining a company looking to develop renewable projects across different markets. At least 3 years of previous work experience in corporate law, with a strong focus on M&A transactions, in tier 1 international law firms or industrial companies in an international context. Experience in the renewable field would be a plus. Proficiency-level Italian and English language skills, with skills in other European languages considered an important plus. Sound knowledge of European law and practice. Ability to prioritize and manage simultaneously multiple tasks, strong at problem-solving and critical thinking, willingness to travel occasionally. Good verbal and written communication skills, listening, influencing and presentation skills, ability to work and communicate in a diverse global organization. Team player, with cultural awareness and curiosity, willing to work with other functions and members of the Legal & Compliance team on joint initiatives.
