Title: Senior Legal Counsel (Leveraged Finance)

Client: Global Financial Institution


Responsibilities:


In this role you will:


  • Negotiate and review contractual documentation relating to leveraged and event finance and to manage documentation risk. Documentation includes term sheets, mandate/engagement letters, loan facility, high yield, intercreditor and ancillary documentation for cross-border transactions on primarily cov-lite Sponsor Term Loan B (TLB) and high-yield (HY) transactions but also corporate lending and Infrastructure deals for EMEA.
  • Advise on effective structuring of transactions and review and analyse proposed structures/ tax structure papers, demonstrating an in-depth knowledge of security, guarantee, leakage, subordination and intercreditor issues.
  • Have very close day to day liaison with business origination team, colleagues in Legal and external counsel.
  • Provide precise instruction and management of external lawyers and external legal costs; and
  • Lead multiple complex transactions simultaneously and work under pressure to tight deadlines.


Qualifications:


To be successful in this role you should meet the following requirements:


  • A qualified banking lawyer (with extensive TLB acquisition finance experience for top tier PE buy-outs as a pre-requisite with depth knowledge of incurrence style covenants in both the European and US market) is essential.
  • Experience on the sponsor side of leveraged finance transactions is highly desirable.
  • Ability to lead multiple complex transactions simultaneously; ability to prioritise and work under pressure to tight deadlines.
  • Ability to work independently but also provide support to team colleagues within an experienced team.
  • Lateral thinking/problem solving.
  • The ability to be innovative and suggest solutions that work well commercially and within the relevant legal framework.
