IMMEDIATE INTERIM OPPORTUNITY Interim Chief Executive Officer Reports To: Board Duration: 6 months (approximately) Location: Surrey, BC Our client is a subsidiary of a publicly-traded, Canadian manufacturing company and a leader in its field. They are seeking an Interim CEO during a critical period of change in order to bridge the gap to an eventual a permanent hire. During this period, the interim leader will oversee the organization’s day-to-day deliverables while also implementing best practices in governance, risk management, financial compliance and board reporting. The successful candidate will have a blend of general management and financial leadership experience, ideally within a publicly traded company or subsidiary.This role will involve close collaboration with various senior stakeholders across the broader business as well as with the Board of Directors. Key Accountabilities: Provide overall leadership and guidance to the organization while ensuring that the organization has a strong and stable platform for the eventual hiring of a permanent CEO. Exercise control over all decisions that do not rise to the level of the Board of Directors, but that cannot be delegated to the existing management team. Conduct capability assessment of the entire management team and elevate the structure and rigour of the finance function. Improve and deliver all reporting and governance obligations of the Management Team. Oversee the quality, robustness, and consistency of analysis required for decision-making by the Board of Directors. Set the conditions for the hiring or promotion of a permanent Chief Executive Officer of a caliber, skillset, and personality necessary to operate the organization. Elevate board communication, reporting, analysis and decision-making by providing weekly reporting to the Board that will include 1) Progress towards key performance objectives as agreed by the Management Team and Board of Directors (on a task basis). 2) Key positive/negative events for the week as well as risk items, with a short-form expectation for impact on relevant financial metrics if appropriate. Monthly reporting to the Board will include: -Overall sales update on sales prospects, including a resulting change in expected probabilities, status, and maximum potential. - Confirmation of required intake level for the month, as well as confirmation that scheduled intake for next quarter is in line with Board plan. - Financial statements for the month. - A reconciliation of the financial statements to the existing forecast. - Confirmation of any potential change to the resulting business liquidity forecast and business covenant forecast. Ensure that all urgent, material items are disclosed to the Board of Directors immediately. Oversight of compliance with all material regulations, directors resolutions, material contracts and provision of compliance statements to the Board of Directors on this basis. This would also include the shareholders agreement credit agreements and other material contracts. Elevate the organization’s governance obligations by running well-planned board meetings and submitting, in advance, meeting agendas, compliance statements, board meeting plans, analysis/KPI’s, recommendations and drafted resolutions. Generate and deliver Management Team analysis and recommendations to the Board for all significant decisions and strategic plans that lay out alternative courses of action, assessment of the impact on liquidity, covenants, customer relationships, long-term value, and offer clear resolutions for review with timelines and reporting plans. Competencies and Requirements: Previous experience as CEO, President or CFO within a publicly traded company.Nice to have: Industry experience within either CPG, food manufacturing or agriculture. Strong financial acumen, ideally with previous executive-level roles within a finance function. Ability to utilize a combination of data and instinct as well as the collective intelligence of the Board and Management Team to make effective decisions. Demonstrated success managing board member relationships. Proven ability to foster a culture of excellence in communication, transparency and compliance.
