Legal Counsel

Our Client Is a private equity firm located in Toronto Responsibilities Oversee and ensure adherence to all relevant laws and regulations Prepare, assess, and negotiate contracts, agreements, and various commercial arrangements, including joint ventures and partnerships Collaborate with specialized local legal counsel worldwide to obtain and evaluate insights on jurisdiction-specific legal matters, such as environmental regulations, labor laws, health and safety standards, land use, permitting processes, and mining regulations Work alongside external legal advisors Partner with various departments to identify potential legal risks and opportunities Support corporate governance initiatives, ensuring compliance with applicable regulations, organizational bylaws, and internal policies Liaise with regulatory bodies, industry organizations, and other stakeholders to advocate for the company’s interests Conduct thorough legal research and due diligence on subjects pertinent to the company Create and implement legal compliance training programs for internal stakeholders to enhance awareness of legal obligations and best practices Assist with matters related to funding and address due diligence inquiries from the investment team Requirements Juris Doctor (J.D.) degree from an accredited law school, with admission to the bar in the applicable jurisdiction required At least 3-4 years of experience in a law firm or as in-house counsel is necessary, preferably within the mining sector, private equity, or large capital projects Proficient in drafting and negotiating intricate contracts and commercial agreements Knowledgeable about corporate governance principles and practices Demonstrated ability to deliver strategic legal counsel, evaluate legal risks, and recommend effective risk mitigation strategies Strong communication, negotiation, and interpersonal skills to collaborate effectively with internal teams, external partners, and government authorities Capable of adapting and excelling in a fast-paced environment
