ADVISORY PANEL OPPORTUNITY

The CEO, Dennise Hilliman, on behalf of the Board of Leadership in Education Services Ltd (“LEAD”) is seeking to appoint a LEAD Advisory Panel (“LAP”) Member. The need is for an Advisory Panel and not a Board of Directors. The specific issue for the Panel to focus on will be stated by the CEO with the exclusion of the other aspects of the business. This means maximum time can be spent on the issue without dedicating time to ratifications, formal approvals etc. as a board of directors.
When offering advice on an issue, the role of the LAP may take one of the following forms:
Offer non-binding guidance and advice to the CEO
Test drive innovative ideas and options
Take request for assistance
Serve as a conduit between investors and the business
To be reliable advocates on particular issues
The LAP is established to provide advisory support and does not form part of the statutory board governance of LEAD.
Introduction to The LEAD Curriculum
The LEAD Curriculum was founded by Dennise Hilliman in September 2015, but did not start trading until 2018. LEAD is now nearly 6 years old. As Richard Branson said, a business is like a child, so just like a child at 6 years, the personality of LEAD is beginning to emerge. In the business life cycle, we are just moving out of the start up to the growth phase.
Below Dennise explains her personal purpose driving LEAD.
“I believe I was born to be a light in the world through teaching. To teach is to light up a life forever. This type of teaching is not a one-way process of imparting knowledge; instead it is imparting authenticity, leading by example through service to illuminate the way for people to bring forth a higher purpose, meaning and joy to the lives of others and therefore themselves.
My personal mantra is ‘Everybody IS Somebody’. ‘IS’ is about being present, because service is about what you can do now. The ‘I’ is inspiration. You develop yourself for the purpose of adding value to others. This means when people come in contact with me, they must always leave aiming for higher levels of success and achievement”
The DNA of LEAD is ‘feeling good, is good for business’. LEAD is on a mission to create workspaces with a powerful culture of service where people feel happy, valued and purposeful. This leads to high productivity and retention.
Below is an outline of indicative terms and conditions of LAP members.
Title of the role
You are appointed in the capacity of Advisory Panel Member with particular expertise of [this is agreed based on your skill set].
Salary
This is an unpaid position that provides the opportunity for you to give back in service to scaling an SME that also provides pro bono services to the communities it supports.
Location
Location will be a mixture of online and face to face meetings. The online meetings will be via Zoom. Face to face meetings will be held at office spaces donated by LAP members or organized by the board of Leadership in Education Services Ltd.
Notice period for termination of service
There is no notice period. Panel members have the right to resign at will and the CEO has the right to request members to stand down at any time.
Contract
The members of the LAP act in a personal capacity not on behalf of any other organization that they are employed by or otherwise represent. The members of the LAP will have no liability to LEAD for advice or any other input provided during the meetings or through ad hoc engagements. All business decisions are the responsibility of LEAD, its board and CEO who will seek independent professional advice from relevant subject matter experts if the board believes the relevant actions or decisions require such advice.
Communication and public confidentiality
As LAP members are expected to be open and candid in the discussion of strategic issues, it is important to maintain confidentiality by not disclosing information or views expressed by any of the members that are confidential or otherwise commercially sensitive. The results of LAP evaluations and any other work product produced by the LAP will also be kept confidential. LEAD also agrees to keep all details discussed in meetings confidential.
Trade Secrets and IP
In order to protect the confidentiality and trade secrets of LEAD, you agree to take all reasonable steps to protect the confidential information and intellectual property of LEAD and not to disclose any such information (save as required by law or regulation) to any third party without the permission of the CEO and LEAD.
Responsibility
Despite not making official decisions or incurring any liability to LEAD, LAP members agree to act responsibly and exercise due skill and care when contributing to the LAP (including without limitation promptly disclosing to the CEO any potential conflicts of interest to ensure that such conflicts can be appropriately managed).
