Talent Solution, part of Manpower Group, for an important pharmaceutical client based in Florence, is currently recruiting a Global Legal Affairs Counsel Specialist. Are you a passionate legal professional? We have an exciting opportunity for you to join a dynamic Global Legal and General Affairs Department - Company Law and Governance, reporting directly to the Global Legal Affairs &, General Affairs Manager. Main Activities: Company Law &, Governance issues including: edition/revision of corporate deeds (Shareholders’ and Board of Directors’ resolutions), delegations of authority’s deeds (power of attorneys, revocations et similia) Participation in Board of Directors’ or Shareholders’ meetings as Legal Advisor, support - from a Company Law/Governance standpoint - in M&, A projects, reorganization of the structure in Group companies, incorporation of new companies or other entities, support in designing and organizing delegations of authority Bank deeds and contracts (cash-pooling, patronage, guarantees et cetera) Legal advice in Health, Safety and Environment (HSE) Law Public funding - advice on public funding procedures: re. interpretation of public calls’ rules/analysis of obligations related to the participation to a competitive selection for the funding of a specific project, e.g. drafting corporate documents Administrative responsibility of legal entities (italian legislative decree n. 231/2001) - legal advice/activity on setting, drafting, arrangement, and updating of “231 Models” (MOGC) and companies’ Codes of Ethics, Legal advice on Criminal Law issues Intercompany service contracts - editing and updating of contract templates and related legal advice Contracts and Civil Law Social responsibility initiatives - legal advice/assistance and contractual matters City planning law: legal advice and assistance Management of out-of-court and judicial disputes in matters falling within the above mentioned areas. Qualifications: Master's Degree in Law (mandatory) - Preferable to have passed the bar exam and to have practised as a lawyer 3 years of experience High level of fluency in both Italian and English languages Excellent organizational skills and aptitude for responsibility and commitment Excellent ability to use the main legal databases, Microsoft Office and Google applications. Remarkable communication and relational skills, considering that the position involves potential contacts with all functions of the group, both in Italy and abroad, as well as with external parties Strong communication skills.
